The Securities and Exchange Board of India (SEBI) has issued a circular modifying the Offer for Sale (OFS) framework for units of Infrastructure Investment Trusts (InvITs) and Real Estate Investment Trusts (REITs). According to the circular, the cooling off period for private listed InvITs with illiquid units has been reduced to ±8 weeks.
SEBI stated that the decision was taken based on market feedback and to facilitate ease of doing business. The revised rules apply with immediate effect. Under the updated framework, offers for sale for private listed InvITs will remain open for only one day, and retail investor provisions will not apply to them. Stock exchanges have been advised to implement the necessary systems and amend their bye-laws accordingly.
